Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer," "you," or "your") and Nexuro AI ("Company," "we," or "us"), governing your access to and use of our chatbot builder platform, API services, embedding scripts, and associated software.

2. SaaS Service & Usage Quotas

Nexuro AI provides tools to train, customize, and deploy AI chatbots using Retrieval-Augmented Generation (RAG). Each subscription plan (Free, Starter, Pro) has dedicated quotas:

• Monthly Message Quota: Monthly cap on chatbot interactions. Once reached, widget responses may pause until the next billing cycle or plan upgrade.
• Chatbots & Data Sources: Maximum number of active chatbots and vectorized knowledge documents allowed per workspace.
• Web Crawling Rate Limits: Automated ingestion is limited to customer-authorized domains and complies with site bandwidth restrictions.

3. Acceptable Use Policy

You agree not to use the Service to:

• Ingest or distribute content that violates intellectual property or copyright laws.
• Crawl or scrape domains without authorization from the respective site owner.
• Deploy bots for unlawful harassment, deceptive impersonation, malware distribution, or spam generation.
• Attempt to reverse-engineer vector embeddings or bypass database Row Level Security isolation.
• Violate any other rule in our Acceptable Use Policy.

4. Customer Content and Intellectual Property

You retain all rights, title, and interest in and to any documents, text, or website content you upload to Nexuro AI. We do not claim ownership over your data or the specialized conversational responses generated specifically from your knowledge bases.

5. Subscriptions, Billing, and Cancellations

Paid subscription plans are billed in advance on a recurring monthly or annual basis. You may cancel your subscription at any time via your Dashboard billing portal. Upon cancellation, your plan will remain active until the end of the current paid billing period.

Payments. Payments are processed by our payment provider, Dodo Payments, which acts as merchant of record. Prices are shown before checkout and applicable taxes are added where required.

Refunds. If you are not satisfied, you may request a full refund of your first payment within 7 days of purchase. After that, subscription fees are non-refundable and we do not provide pro-rata refunds for partial billing periods, except where required by law. Lifetime plan. The one-time Lifetime offer grants Pro-plan limits for as long as the Service is operated, subject to fair use and these Terms. It is not transferable and does not include additional usage beyond the published Pro limits.

6. Service Availability and SLA

We strive to provide 99.9% uptime for all core widget runtime APIs and dashboard features. However, we cannot be held liable for temporary interruptions caused by upstream AI provider latency or scheduled maintenance windows.

7. Limitation of Liability

To the maximum extent permitted by applicable law, Nexuro AI shall not be liable for any indirect, incidental, special, consequential, or punitive damages resulting from your use of the platform.

8. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify customers of material changes via email or dashboard notifications prior to their effective date.

9. Governing Law

These Terms shall be governed and construed in accordance with the laws of Delaware, United States, without regard to its conflict of law provisions.
